Join our M&A team as Legal Counsel – M&A (Acquisitions & Licensing) and be part of our work to unlock value and drive transformation.
Here’s how you will have a role to play in this team:
- Lead External Growth Operations: You will autonomously manage the legal and contractual aspects of transactions, including acquisitions, licensing, minority stake investments, and divestitures.
- Manage Strategic Projects: As a member of dedicated task forces, you will lead and coordinate external legal counsel and ensure regular reporting to General Management.
- Draft and Negotiate Complex Agreements: You will design, draft, and negotiate all types of legal documentation, including Non-Disclosure Agreements, Letters of Intent, and Purchase/License Agreements.
- Ensure Legal Security and Reorganization: You will optimize the legal security of operations and oversee the establishment or restructuring of Group entities (subsidiaries, joint ventures) in collaboration with the Finance and Corporate Law teams.
- Handle Litigation: You will manage disputes (pre-litigation, lawsuits, settlements) related to the implementation of these operations.
The skills that you will need to make an impact:
- M&A Business Law Expertise: A minimum of 8 to 10 years of experience, with significant international exposure and at least 5 years in a law firm.
- Broad Technical and Legal Skills: A strong command of business law and in-depth knowledge of various fields (securities law, labor law, real estate, IP/IT, data privacy).
- English/French mastery : Flawless command of English, both written and spoken, is essential for our multicultural environment.
- Interpersonal and Negotiation Skills: Excellent communication, diplomacy, and the ability to persuade. You will act as a key interface with the Finance and Tax departments.
- Rigor and Analytical Mindset: Exceptional analytical and synthesis skills, excellent drafting abilities, along with the responsiveness and high work capacity required for this role.
